1. Acceptance of Terms
By accessing or using VaultRent ("Service"), operated by VisualZero Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and VisualZero Inc. Please read them carefully.
2. Service Description
VaultRent is a web-based property management software platform designed to help landlords and property managers in Ontario, Canada organize and manage their rental properties.
2.1 What VaultRent Provides
- Administrative tools for tracking tenants, properties, and maintenance
- Rent tracking and reminder notifications
- Document storage and organization
- Financial reporting and analytics
2.2 What VaultRent Does NOT Provide
IMPORTANT DISCLAIMERS:
- VaultRent does NOT process payments, collect rent, or handle financial transactions
- VaultRent does NOT provide legal advice or legal services
- VaultRent does NOT provide brokerage or real estate services
- VaultRent does NOT guarantee compliance with the Residential Tenancies Act (RTA) or other laws
You are solely responsible for ensuring your use of VaultRent complies with all applicable laws, including the Ontario Residential Tenancies Act, PIPEDA, and local regulations.
3. Account Registration and Security
3.1 Account Creation
To use VaultRent, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Be legally authorized to enter into this agreement
- Have legal authority to manage the properties you add to the platform
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and enabling multi-factor authentication when available
4. Acceptable Use Policy
You agree NOT to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to the Service
- Use the Service for illegal discrimination or harassment
- Scrape, data mine, or extract data without permission
- Resell or redistribute the Service without authorization
- Use the Service in a way that violates tenant privacy rights
5. Subscription and Billing
5.1 Subscription Plans
VaultRent offers various subscription tiers. Pricing is displayed on our website and is subject to change with 30 days' notice.
5.2 Payment Terms
- Subscriptions are billed monthly or annually in advance
- All prices are in Canadian dollars (CAD) unless otherwise stated
- Applicable taxes (HST/GST) will be added to your invoice
- Payment is processed through secure third-party payment processors
5.3 Automatic Renewal
Subscriptions automatically renew unless you cancel before the renewal date. You can cancel anytime through your account settings.

6. Data Ownership and Usage
6.1 Your Data
You retain all ownership rights to the data you enter into VaultRent. We do not claim ownership of your property information, tenant data, or documents.
6.2 Our Rights
By using VaultRent, you grant us a limited license to:
- Host, store, and back up your data
- Process your data to provide the Service
- Create anonymized, aggregated analytics (with no personally identifiable information)
6.3 Data Portability
You can export your data at any time through the platform. Upon account termination, we will provide a 30-day window to download your data.
7. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
7.1 No Legal or Financial Advice
VaultRent provides software tools only. We do not provide:
- Legal advice regarding landlord-tenant law
- Tax or accounting advice
- Financial services or payment processing
- Brokerage or real estate services
7.2 No Guarantee of Compliance
While we design VaultRent with Ontario's Residential Tenancies Act in mind, we do not guarantee that your use of VaultRent will ensure legal compliance. You should consult with legal professionals regarding your obligations as a landlord.
7.3 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience unexpected downtime.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISUALZERO INC. SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Legal disputes arising from landlord-tenant relationships
- Decisions made based on information or features in VaultRent
- Damages exceeding the amount paid by you in the 12 months preceding the claim
Some jurisdictions do not allow certain liability limitations. These limitations may not apply to you.
9. Termination
9.1 Termination by You
You may cancel your account at any time through account settings. See our Refund Policy for information about refunds.
9.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- Your account is used for illegal activities
- Payment is overdue for more than 30 days
- We are required to do so by law
9.3 Effect of Termination
Upon termination, your access will cease, and we will delete your data after 30 days unless required to retain it by law.
10. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved through binding arbitration in Toronto, Ontario, Canada, or in the courts of Ontario.
11. Changes to Terms
We may modify these Terms at any time. We will notify you of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
